The goal of this project is to bring more health to more patients and to continuously improve Boehringer Ingelheim’s product competitiveness and enlarge its market share.

BI's innovative medicines deliver positive first half year results in Europe

Bracknell, England, 9 August 2011 – Boehringer Ingelheim has in the first half of 2011 once again grown in local currency terms compared to the previous year (+ 4 percent). Consolidation in euros shows growth of 2.6 percent, with total net sales of EUR 6.4 billion against EUR 6.2 billion in the first half of the previous year.

“We are pleased that Boehringer Ingelheim has further developed positively through innovative medications”, Professor Andreas Barner, Chairman of the Board of Managing Directors, underlined. “Our vision – Value through Innovation – thereby proves itself sustainably as the basis of our company.”

Overall, Prescription Medicines’ net sales amounted to EUR 4.9 billion in the first half-year, broadly in line with the previous year’s level. After currency adjustment and taking into account structural business conditions (e. g. the expiry of exclusivity on medications in the USA and Germany), business grew by 10 percent in local currency terms, particularly in the USA, Japan and Canada. Established prescription medicines, such as Spiriva® and Micardis®, showed market increases, with growth of 10 and 11 percent respectively.

“For Boehringer Ingelheim the first half of business year 2011 is characterised in turnover terms by successful new launches. A good earnings position overall has enabled us to activate again higher investment in research and development” explained Hubertus von Baumbach, Member of the Board of Managing Directors responsible for Finance. Operating income in the first half-year has developed more positively compared to the previous year.

The turnover of the Consumer Health Care business amounted to EUR 667 million, or 11 percent growth towards the first six months of the previous year in local currency terms. The gratifying increase in net sales of cold medications in Europe contrasted with depressed growth in the self-medication business in Japan (- 6 percent in local currency terms). The prolonged stagnation of the self-medication market was furthermore negatively impacted by the consequences of the earthquake and the tsunami.

In the emerging markets, Boehringer Ingelheim was able to increase its Human Pharmaceuticals’ net sales by some 12 percent overall to EUR 890 million. Here, China, Russia, Venezuela and Mexico were the companies with the strongest growth.

The Industrial Customer business achieved EUR 332 million net sales in the first half of 2011, or 13 percent more than during the same period of the previous year. This development is primarily attributable to increased turnover in the development and production of biopharmaceuticals for third party customers. Other third party business was reduced by 9 percent.

The Animal Health business achieved net sales of EUR 468 million in the first half of 2011, thereby growing three percent over the first half of last year in local currency terms. The important growth driver was again the innovative swine vaccine Ingelvac® CircoFLEX, with net sales growth of 10 percent compared to the same period of the previous year.

New substances from the company’s own research and development made further progress, Prof. Barner stressed. A row of new biological and chemical active ingredients were transferred from the preclinical stage to clinical development. Furthermore, substances in the late development phases were progressed according to plan.

The personnel capacity of Boehringer Ingelheim’s international group of companies, as of 30 June 2011, stood at 42,486, or 4.8 percent (+1,957 positions) higher compared to the first half of the previous year.

Boehringer Ingelheim will support “Making More Health” by engaging its 42,000 employees worldwide in various capacities to help spread an understanding and appreciation of social entrepreneurship and health innovation within their own communities.

“Making More Health brings together two organizations committed to finding innovative people and ideas to help shape the future of the health sector,” said Professor Dr Andreas Barner, chairman of the board of managing directors at Boehringer Ingelheim. “Through this partnership we will bring forth meaningful and sustainable solutions that can achieve individual and family well-being in communities around the globe.”

Ashoka’s Chair, Bill Drayton, commented: “Some parts of how the world deals with health are highly creative, most especially the development of new pharmaceuticals, an area where Boehringer Ingelheim has made contribution after contribution for 125 years. Much of the rest of the system, however, has fallen way behind the need. The Making More Health partnership creates a global and business/social alliance led by top entrepreneurs and open to all that we believe will bring big changes to the entire system.”

To date, “Making More Health” has supported four leading Ashoka social entrepreneurs in the health sector, including Rebecca Onie, founder of Health Leads in the United States; Michael Hoffmann founder of Discovering Hands in Germany; Guillaume Bapst, founder of ANDES in France; and Luh Ketut Suryani, founder of the Suryani Institute for Mental Health in Indonesia.

Major diabetes care agreement centers on four pipeline compounds representing several of the largest and most promising product classes.

Companies will jointly develop and commercialize a pipeline of oral diabetes agents and basal insulin analogues. The alliance also includes the option to co-develop and co-commercialize an anti-TGF-beta monoclonal antibody.

Boehringer Ingelheim’s innovative late-stage diabetes pipeline drives its expansion into new therapeutic area, supplemented by two basal insulin analogues, currently under development from Lilly.

Agreement furthers Lilly’s commitment to offer one of the broadest portfolios in diabetes care and provide together with Boehringer Ingelheim more options for people with diabetes, their health care providers and payers.

Boehringer Ingelheim will host a media event; Lilly will host an investor conference call today to discuss the content and benefits of the alliance.

Ingelheim/Germany and Indianapolis/USA – Boehringer Ingelheim and Eli Lilly and Company (NYSE: LLY) today announced a global agreement to jointly develop and commercialize a portfolio of diabetes compounds currently in mid- and late-stage development. Included are Boehringer Ingelheim’s two oral diabetes agents—linagliptin and BI10773—as well as Lilly’s two basal insulin analogues—LY2605541 and LY2963016 as well as the option to co-develop and co-commercialize Lilly’s anti-TGF-beta monoclonal antibody.

Linagliptin is a dipeptidyl peptidase-4 (DPP-4) inhibitor discovered by Boehringer Ingelheim and being developed as an oral once-daily tablet for the treatment of Type 2 diabetes. It is currently under regulatory review in the U.S., Europe and Japan. Boehringer Ingelheim’s BI10773, a sodium-dependent glucose co-transporter-2 (SGLT-2) inhibitor, began enrollment in Phase III clinical trials last year. It belongs to a new, emerging class of diabetes compounds that block tubular reabsorption of glucose in the kidney. Currently there are no SGLT-2 inhibitors approved for use.

Lilly’s two basal insulin analogue candidates are expected to enter Phase III clinical testing in 2011. Lilly’s two basal insulin analogue candidates are LY2605541, a structurally novel basal insulin analogue, and LY2963016, a new insulin glargine product. The agreement also includes an option for Boehringer Ingelheim to co-develop and co-commercialize another Lilly diabetes molecule, an anti-TGF-beta monoclonal antibody, which is currently in Phase II of clinical testing in patients with diabetes with chronic kidney disease.

The alliance will leverage the collective scientific expertise and business capabilities of two leading research-driven pharmaceutical companies to address patient needs arising from the growing global diabetes epidemic.

“We are very excited about this new and extensive alliance with Boehringer Ingelheim, with whom we have partnered successfully in the past,” said John C. Lechleiter, Ph.D., Lilly chairman and chief executive officer. “Working together, we will comprise one of the most robust diabetes pipelines in the pharmaceutical industry. For Lilly, this alliance expands our range of offerings for people with diabetes, strengthens our diabetes care capabilities and offers the prospect of near-term revenue opportunities as we address the upcoming loss of patent exclusivity for several of our products.”

“Boehringer Ingelheim and Lilly have agreed to form a strategic alliance in diabetes at a time point when we at Boehringer Ingelheim are entering another new therapeutic area with innovative compounds out of our own Research and Development. This cooperation will give Boehringer Ingelheim and Lilly the combined benefits of Lilly’s expertise in the diabetes market and two basal insulin analogues as well as Boehringer Ingelheim’s rich and innovative late-stage pipeline.” said Prof. Andreas Barner, Chairman of the Board of Managing Directors of Boehringer Ingelheim.

Under the terms of the agreement, Lilly will make an initial one-time payment to Boehringer Ingelheim of €300 million. Boehringer Ingelheim will be eligible to receive up to a total of €625 million in success-based regulatory milestones for linagliptin and BI10773. Lilly will be eligible to receive up to a total of $650 million in success-based regulatory milestones on its two basal insulin analogues. Should Boehringer Ingelheim elect to opt-in to the Phase III development and potential commercialization of the anti-TGF-beta monoclonal antibody, Lilly would be eligible for up to $525 million in opt-in and success-based regulatory milestone payments. The companies will share ongoing development costs equally. Upon successful regulatory approval of any product resulting from the alliance, the companies will equally share in the product’s commercialization costs and gross margin. Each company will also be entitled to potential performance payments on sales of the molecules they contribute to the collaboration.

As a result of this transaction, Lilly expects 2011 earnings per share dilution in the range of $0.45-$0.50, including a charge of approximately $0.27 per share related to the one time payment. Assuming a successful launch of linagliptin, Lilly anticipates progressively and significantly less dilution in 2012 and 2013, no dilution to slight accretion in 2014, and more significant accretion in 2015 and beyond. The 2011 financial impact of this transaction will be reflected in Lilly’s 2011 financial guidance, which will be provided as part of the fourth quarter and full-year 2010 financial results announcement on January 27, 2011.

Lilly Conference Call and Webcast

Lilly will conduct a conference call with the investment community and media today at 10:00 a.m. EST to discuss today’s announcement.
